A C-corporation incorporated in the US state of Delaware, whose well-developed corporate law and courts make it the default home for venture-backed startups, even those operating elsewhere.
Why it matters
Investors are so used to Delaware C-corps that choosing it removes friction from fundraising and deals. Its predictability and precedent are why it is the near-universal standard for startups seeking US venture capital.
